These Merchant Terms and Conditions (“Merchant T&Cs”) serve as a binding agreement between FLIK and FLIK Merchants for the implementation of the “Collaboration,” as defined in these Merchant T&Cs. For clarity, in these Merchant T&Cs:
“FLIK Merchant” or “Merchant” means a merchant who has registered to collaborate with FLIK and is registered as a FLIK Merchant; and
“FLIK” means PT FLIK TEKNOLOGI INDONESIA, which provides a 1-click checkout solution to its merchants to optimize online transactions on its website and/or application.
Merchants and FLIK are collectively referred to in these Merchant T&Cs as the “Parties” and individually as a “Party.” These Merchant T&Cs are the version established by FLIK on November 15, 2023.
We reserve the right to change, modify, or add to the Merchant T&Cs at any time in Our sole and absolute discretion by posting the amended version of the Merchant T&Cs on Our website and/or FLIK Merchant dashboard. We will notify you of any updates to the Merchant Terms and Conditions, which notification will provide 7 calendar days or a mutually agreed period in writing, unless required by government agencies, authorities, and/or requested by our partners to make changes directly or at a faster time (the "Notification Period"), for you to review and notify us in writing of any objections to the updated Merchant Terms and Conditions. If we do not receive any written objections from you by the end of the Notification Period, the updated Merchant Terms and Conditions will be fully effective for you upon the expiration of the Notification Period. The updated Merchant Terms and Conditions will cancel and supersede all previous versions.
Please read and understand all provisions of the Merchant Terms and Conditions to ensure that the Merchant understands its rights and obligations in the implementation of the Cooperation.
These Merchant Terms and Conditions are signed using a digital signature, as defined in relevant laws and regulations. The Merchant represents and warrants that the digital signature is an original and valid signature of the Merchant or a party authorized and legally representing the Merchant, and the Merchant will not dispute the validity and authenticity of the digital signature. Therefore, these Merchant Terms and Conditions constitute an agreement made by and between FLIK and you.
ARTICLE 1 - DEFINITIONS
Terms beginning with capital letters in these Merchant Terms and Conditions have the definitions as set forth in the Merchant Terms and Conditions:
“Settlement Funds” are Transaction Funds after deducting FLIK Commissions, Payment Gateway Fees, and applicable taxes.
“Transaction Funds” are funds generated from each Transaction.
“Transaction Data” is data generated from Transaction receipts recorded and calculated by or on the part of FLIK, such as, among other things, the Transaction amount, Transaction value or Transaction Funds, and the time of the Transaction.
“Personal Data” is any data that identifies or can be used to identify, contact, or trace an individual, alone or in combination with other information, directly or indirectly.
“Business Day” means a business day from Monday to Friday on which banks in Indonesia are fully operational, excluding holidays determined and recognized by the government of the Republic of Indonesia.
"Data Protection Law" means the laws and regulations applicable in the Republic of Indonesia, including all derivative and implementing regulations, as amended from time to time.
"Cooperation" means a collaboration agreed upon by and between the Parties to enable Merchants to enable a 1-click checkout solution on their websites and/or applications to accept Transactions, and Shoppers can create Transactions to purchase/pay for Merchant Products.
"Settlement Report" means a report containing Transaction Data and Settlement Funds recorded and calculated for a given day from 00:00 Western Indonesian Time (WIB) to 23:59 WIB on that day.
"Business Locations" are locations registered by Merchants with FLIK and approved by FLIK for the implementation of the Cooperation, including physical locations, such as stores or warehouses, and digital locations, such as websites or applications.
"FLIK Commission" means the rate charged by FLIK to Merchants for each Transaction payment processed through FLIK under the Cooperation.
"Payment Gateway Fee" is the fee charged by the payment gateway provider to the Merchant for each Transaction payment processed through FLIK.
"Shipping Fee" is the fee charged by the third-party logistics provider for handling the shipping process from the Merchant's store or warehouse to the destination address.
